These Terms of Use (ToU) constitute a comprehensive agreement between the Research and Development Institute for the Agri-Environment (hereafter referred to as “IRDA”) and each user (hereafter referred to as the “User”) who uses the ProfilSol application (the “Services”).
The User should carefully read the ToU before using the Services.
The User should additionally review our Privacy Policy, which also governs the Services, prior to using said Services.
Any User who does not agree to the ToU and the Privacy Policy must stop using the Services and accessing the ProfilSol application.
By accessing ProfilSol or making use of the Services, the User acknowledges having read these ToU and of the Privacy Policy, expressly accepts the terms thereof, and expressly agrees to respect the obligations listed therein.
The Services are offered to you free of charge. These services may include information, data, summary evaluations, messages, texts and documents produced by IRDA.
All rights, titles and interests related to intellectual property rights concerning the Services, as well as any modifications, extensions, scripts, or other works derived from the Services’ inclusion, are and remain the exclusive property of IRDA or its licensors.
Thus, all content presented or displayed on the Services, including, but not limited to, images, text, pictorial works, videos, graphics, audio recordings, multimedia and computer programs, including Web programs (“Content”), are property of IRDA or its licensors.
In using the Services, IRDA grants the User, subject to his or her abiding by the ToU, a non-exclusive, revocable, non-transferable license which allows him or her to display, view and use the Services on a personal computer, mobile telephone, any other wireless device or any other device that can be connected to the internet. In virtue of this license, the User can also print a copy of the Services as displayed on the application.
It is expressly understood that this license does not grant the User any ownership right to, or interest in, intellectual property necessary to or used for rendering of Services.
The User agrees not to conduct any reverse engineering or modification of ProfilSol, nor to create any product derived from the application.
By using the Services and sharing any text, data, image, video, audio recording or other material (hereafter referred to as “Information”) via ProfilSol, the User grants IRDA a non-exclusive, irrevocable, royalty-free license with sub-licensing rights, which allows it to use the Information for the purposes of improving the Services or carrying out IRDA's mission.
As a result, IRDA may, at its sole discretion and for any purpose it deems useful, use, modify, or incorporate into its products or services the information provided by the User.
The Services and any material and information published therein are provided to the User “as is” without any guarantee on behalf of IRDA or its Partners.
As a result, IRDA does not offer any guarantee regarding the exactitude, relevance or accuracy of the content of its Services. IRDA disclaims all responsibility with regard to the User's use of service.
Likewise, IRDA disclaims all responsibility with regard to worm viruses, malware or malicious computer programs.
The User is solely responsible for the use of the information contained in the Services.
IRDA expressly disclaims all responsibility with regard to direct, indirect, accessory or punitive damages that may arise directly or indirectly from the use of the Services and their content or from the inability to use them, even in the case of IRDA being notified thereof.
IRDA reserves the right to modify the ToU as well as its Privacy Policy at any time and without prior notice. The User should periodically review the ToU and Privacy Policy in order to stay informed of any updates or modifications.
The User who makes use of the Services following any such updates or modifications to the ToU and the Privacy Policy expressly accepts said modifications.
In case of the User violating the ToU, IRDA reserves the right to take action against the User.
Thus, IRDA reserves the right to refuse the User all access to the Services, temporarily or permanently. IRDA may take these measures at its sole discretion, without any period of prior notice. The User expressly agrees that these measures cannot engage the responsibility of IRDA or result in any form of reparation or compensation.
If any one of the provisions of these ToU were to be deemed invalid, illegal or inexecutable by a competent court, the validity, legality and enforceability of the remaining provisions of these ToU shall remain unaffected.
As applicable, IRDA reserves the right to replace the provision judged invalid by another similar, valid provision.
The hyperlinks leading to sites belonging to third parties are not under the responsibility of IRDA; these links are solely provided to the User for his or her convenience.
This license is governed by applicable laws in the Province of Quebec, irrespective of its conflict-of-law rules. The User agrees that any dispute arising from the use of the Services and/or of these ToU are exclusively subject to the competent courts of the district of Quebec.
